Each Seller undertakes no obligation to force the other Sellers to comply with their respective obligations, except that each Seller hereby agrees, without guarantee of result, to exercise any and all rights (including but not limited to “drag-along” or similar rights) under any shareholders' agreements among the Sellers to the extent the exercise of such rights would have the effect of requiring the other Sellers to comply with their respective obligations to transfer their Shares. Jeżeli jednak lekarz zobowiązuje się do osiągnięcia rezultatu (a wiec złoży przyrzeczenie rezultatu zawierając umowę o dzieło czy umowę gwarancyjną) i rezultatu tego nie osiągnie, to mimo dołożenia należytej staranności i postępowania lege artis (zgodnie z zasadami sztuki) ponosi odpowiedzialność za wyrządzenie pacjentowi szkody..

Właściwościom stosunku pracy sprzeciwiałoby się przyrzeczenie osiągnięcia określonego rezultatu (bądź uzależnienie od jego osiągnięcia wysokości wynagrodzenia), gdyż pracownik i pracodawca wiążą się umową należącą do kategorii umów starannego działania.
